7th Interim Meeting of the MSD Council
THURSDAY, APRIL 12, 2018
Report of Elections, Bylaws Changes, and Other Actions
All reports submitted to the 2018 Council are on file at the Medical Society of Delaware office and are available to members upon request.
The 7th Interim Meeting of the Medical Society of Delaware took place on Thursday, April 12, 2018, at Maple Dale Country Club in Dover, Del. Steven M. Costantino, Director
of Health Care Reform for Delaware Health and Social Services, presented an update to Council members on activities to establish health care quality and cost benchmarking for the State of Delaware.
A business meeting followed Director Costantino’s presentation. A report of the actions adopted by the Council follows.
BYLAWS
The MSD Bylaws Committee proposed the following to be considered for change in the Bylaws. The suggested changes were adopted as presented. Only the areas containing the adopted changes are published below. Underlines indicate additions, while a strike- through indicates a deletion from the Bylaws. The MSD Bylaws have since changes.
ARTICLE III – MEMBERSHIP
(d) Physicians who reside but are not licensed in Delaware but who are licensed have an unrestricted medical license to practice in another state.
(e) Physicians who are not former members, do not reside or practice in Delaware, and do not hold a medical license in Delaware but hold an unrestricted license to practice medicine in another state.
(f) Physician Assistants who are licensed in Delaware licensed physician assistants who and are in good standing with
their licensing board and are members
in good standing of the Delaware Academy of Physician Assistants and who are supervised by a physician who is a member of the Medical Society of Delaware.
ARTICLE V – EXECUTIVE BOARD
Section 4 – Election and Terms
The AMA Delegation representative shall be the AMA Senior Delegate, Council to be another member from the AMA Delegation. The Government Affairs Committee and Third Party Payer Committee representatives
are determined by the respective committees. The MSD Holding Company Board representative is determined
by the MSD Holding Company Board
of Directors Holding Company Board Vice Chair.
The AMA Delegation representative,
the Government Affairs Committee,
and the Third Party Payer Committee representatives and the MSD Holding Company Board representative shall serve two-year terms with no term limit. The MSD Holding Company Board representative shall serve a one-year election cycle.
ARTICLE XI – COMMITTEES
OF THE SOCIETY
Section 11 – Budget and Finance Committee
The Budget and Finance Committee consists of the Treasurer as chair, the President-Elect, and not less than four elected members.
ELECTIONS
The Nominating Committee report was presented by Richard W. Henderson, MD, Chair. The name of Patt E. Panzer, MD was considered as Health Hub,
LLC representative to the MSD Holding Company Board of Directors. Dr. Panzer was unanimously elected to the position by the Council. This position is an annual term.
The position of American Medical Association (AMA) Organized Medical Staff Section (OMSS) Alternate Delegate was slated for a vote by the Council. MSD Bylaws indicate that nominations for the position are made by the Presidents of the supporting Delaware hospital medical
