Incorporating your business. Advice from an expert.
Q: Does a company have to operate in Delaware to incorporate there?
A: No. It doesn’t matter where the incorporating company and its staff originates or operates.
Q: Should a company incorporate in more than one state?
A: Not necessarily. It depends on the nature of the business. Inc. Plan will give you an honest assessment, based on your operating plan and conditions. If more than one state makes sense for your company, Inc. Plan can handle it for you.
Q: What about international companies? Do they need to incorporate in the U.S.?
A:Yes, if they conduct business in one or more states. Q: Why Inc. Plan (USA)?
A: Inc. Plan is not an automated, impersonal process. We operate as a consultancy, and we’re solution-driven. When you call Inc. Plan, you normally speak first with one of our experienced partners. We ascertain what your objectives and goals are. With that knowledge, we have the services and resources to provide a custom solution to your situation. We’re A+-rated with the BBB. And we accommodate languages in French and Spanish.
Q: What are some other IncPLAN services besides basic incorporation?
A: We provide business plan creation...virtual offices ... legal and commercial addresses... mail acceptance and forwarding... local phone numbers... tax ID numbers... discreet and discretionary bank accounts. And we offer registered agent service in all 50 states.
Jacques Luben is managing partner in Inc. Plan (USA). A board member of World Trade Center Delaware, Jacques has international connections and speaks fluent French and Spanish. He studied
at Columbia Business School and Univ. of Penna. He has been a Delawarean for 30 years and knows the state’s business assets and advantages. He is an author and prolific blogger.
Q: Why should a company incorporate?
A:There are three good reasons. On a practical level, there is the liability issue. Incorporation insulates the principals’ personal assets. There also may be tax advantages.
And there is the image factor: An incorporation gives
the appearance of being more solid, more stable, more professional, all enhancing its legitimacy.
Q: Why in Delaware?
A:The First State is business-friendly. Delaware attracts businesses and investors world-wide for its tax advantages and business-friendly legal system. Unlike other states, there are often circumstances where a company incorporated in Delaware pays no corporate Delaware income tax. This is very favorable in comparison with New York and other heavily-taxed states.
