Rolin P. Bissell
is a partner of Young Conaway Stargatt & Taylor LLP. With over 34 years of experience, Bissell’s practice focuses on assisting companies, their boards and significant investors with counseling and litigation concerning complex Delaware corporation law issues arising from ma-
jor transactions, activist campaigns, financial distress situations and other forms of corporate crisis. He speaks and writes fre- quently on corporation law and related topics. Bissell is a fellow of the American College of Governance Counsel and sits on the Advisory Board of the Weinberg Center for Corporate Gover- nance of the University of Delaware. He is Chair of the Friends Committee of the American Philosophical Society.
Samuel L. Closic
is a director of Prickett, Jones & Elliott, P.A. His practice focuses on business en- tity transactions and corporate and com- mercial litigation. Closic’s practice pri- marily involves mergers and acquisitions, corporate governance and other complex business matters in the Delaware Court
of Chancery. Outside of the courtroom, Closic can be found on the golf course or at an Eagles game.
Bonnie W. David
is an associate with Skadden. She focuses her practice on corporate and complex commercial litigation in the Delaware Court of Chancery, as well as other state and federal courts across the country. David’s experience includes representing corporations and their directors, officers
and advisers in merger and acquisition-related litigation, deriva- tive suits, corporate statutory proceedings, federal securities lit- igation and other stockholder disputes. She frequently advises corporations and their boards of directors on transactional and corporate governance matters involving the Delaware General Corporation Law, the fiduciary obligations of directors and of- ficers and other corporate law issues.
James H. S. Levine
is an associate with Pepper Hamilton LLP. Levine concentrates his practice on complex commercial and corporate liti- gation, including business and fiduciary disputes, securities litigation and statuto- ry proceedings under the Delaware Gen- eral Corporation Law. Levine regularly
represents clients in Delaware state and federal courts, including the Delaware Court of Chancery, and in state and federal courts
nationwide. Levine frequently serves as Delaware counsel in complex and high-stakes intellectual property disputes, includ- ing patent and trademark litigation. He also advises clients on proxy contests, challenges to corporate control, and transac- tional matters involving corporate governance principles.
The Hon. Kathaleen S. McCormick
was sworn in as a Vice Chancellor of the Court of Chancery on November 1, 2018. Prior to joining the Court, she was a partner in the Delaware law firm Young Conaway Stargatt & Taylor, LLP, where she focused her practice on litigat- ing internal governance and corporate
disputes, primarily in the Court of Chancery. Before entering private practice, Vice Chancellor McCormick was a staff attor- ney with the Community Legal Aid Society, Inc. She received her bachelor’s degree in philosophy from Harvard College and her law degree from Notre Dame Law School. She is a Dela- ware native, graduating from Smyrna High School in 1997.
Edward B. Micheletti
heads the litigation practice of Skadden’s Wilmington office. For more than two decades, he has successfully represented clients in significant business litigation matters at both the trial court and ap- pellate levels in Delaware. Micheletti re- peatedly has been selected for inclusion
in Chambers USA: America’s Leading Lawyers for Business, The Best Lawyers in America and Lawdragon 500 Leading Lawyers in America. In 2011, he was one of five attorneys named to the securities section in Law360’s list of Rising Stars, and he was selected as one of the 40 Under 40 by The M&A Advisor. Micheletti also is a member of the Corporation Law Council of the Delaware Corporation Law Section of the Delaware State Bar Association that annually reviews and considers amend- ments to the Delaware General Corporation Law.
Kenneth J. Nachbar
is a partner at Morris, Nichols, Ar- sht & Tunnell, LLP, and is a graduate of Haverford College and New York University School of Law. He practices extensively in the Delaware Court of Chancery. Nachbar’s practice focuses on cases involving mergers and acquisitions,
control contests, shareholder class and derivative actions, and contractual disputes. He advises corporate clients and boards of directors with respect to litigation and transactional mat- ters including structuring of corporate transactions, defensive mechanisms and representation of special negotiating commit- tees and special litigation committees.
