Anat Alon-Beck
is an Associate Professor at Case Western Univer- sity School of Law. Her research focuses on corpo- rate law and gov-
ernance. Professor Alon-Beck’s work examines how legal and regulatory structures influence the shift in equi- ties from public markets to private markets, and the rise in the number of “unicorn” firms. Her research has been cited before Congress, the U.S. Securities and Exchange Commis- sion, and Ninth and Fifth Circuit Courts of Appeals. Professor Alon- Beck writes a column on Forbes.com and sits on the Executive Committee of the Association of American Law Schools Section on Transactional Law & Skills. She also chairs the Academic Subcommittee of the American Bar Association’s Business Law Section, Private Equity and Ven- ture Capital Subcommittee.
The Honorable Paul A. Fioravanti, Jr. was sworn in as a Vice Chancellor of the Court of Chancery of the State of Dela-
ware on February 10, 2020. Prior to joining the Court, Vice Chancellor Fioravanti was a Director at the law firm of Prickett, Jones & Elliott, P.A. in Wilmington, where he practiced for 21 years, with a primary focus on corporate and commercial litiga-
tion in the Court of Chancery. He received a B.A. in Political Science from the University of Delaware and a J.D. from the University of Mary- land School of Law, where he served as editor-in-chief of the Maryland Law Review.
Ann M. Lipton
is the Michael M. Fleishman Associ- ate Professor in Business Law and Entrepreneurship at Tulane Univer- sity Law School,
where she also serves as the Associ- ate Dean for Faculty Research. As
a scholar, Professor Lipton explores corporate governance, the relation- ships between corporations and in- vestors, and the role of corporations in society. Her articles have appeared in the Journal of Corporation Law, the Fordham Law Review and the Georgetown Law Journal, among other publications. Professor Lipton clerked for U.S. Supreme Court Jus- tice David Souter and Third Circuit Court of Appeals Judge Edward Becker. Before entering academia, she was a securities and corporate litigator and worked briefly for the U.S. Securities and Exchange Com- mission.
John Living- stone is a Research Fellow at Case Western Reserve Uni- versity School ofLawanda Visiting Lecturer
of Accounting at the University of California, Berkeley – Haas School of Business. His research focuses
on the interplay between corporate governance and securities regulation in capital formation transactions, primarily in the tech industry. He has presented to the American Bar Association, Business Law Section’s Private Equity and Venture Capital Committee and Council for Insti- tutional Investors on cutting-edge issues in venture capital and going- public transactions, and his work

Vernon R. Proctor
practiced corpo- rate and alterna- tive entity law in Wilmington for over 37 years. Fol- lowing his retire- ment from active
practice in 2016, he earned a mas- ter’s degree in Conflict Analysis and Dispute Resolution from Salisbury University. He mediates pending cases in Sussex County courts and consults with Episcopal parishes in transition between rectors. Proctor currently serves as a Director of the Bosserman Center for Conflict Resolution at Salisbury University and as a member of the Bethel (DE) Town Council.
Eric Talley is
the Isidor and Seville Sulzbacher Professor of Law at Columbia Law School and is a co-director of the Ira M. Millstein
Center for Global Markets and Cor- porate Ownership. Professor Talley is an expert on the intersection of cor- porate law, governance and finance. He teaches and conducts research in the areas of mergers and acquisitions, quantitative methods, machine learn- ing, contract and commercial law, alternative investments, game theory, and economic analysis of law. He is a frequent commentator in the na- tional media and speaks regularly to corporate boards, judges and regula- tors on issues pertaining to fiduciary duties, governance and finance.
He also hosts the Columbia-based podcast Beyond “Unprecedented”: The Post Pandemic Economy.
