 Alexis A. Wiseley
is an associate with Skadden. She focuses her practice on corporate and complex commercial litigation. Wiseley’s experi- ence includes representing corporations, their directors and officers in class and derivative actions relating to fiduciary duties of directors, demands for inspec-
tion of corporate books and records, and federal and state se- curities fraud claims. Wiseley also advises clients on corporate governance issues and aspects of transactions arising under the Delaware General Corporation Law.
John Mark Zeberkiewicz
is a director of Richards, Layton & Finger, P.A. Zeberkiewicz focuses his practice on transactional matters in- volving Delaware corporations, including mergers and acquisitions, corporate governance and corporate finance. He is a member of the Corporation Law
Council of the Corporation Law Section of the Delaware State Bar Association and has served on drafting subcommittees responsible for significant amendments to Delaware’s General
Corporation Law, including the subcommittee responsible for the adoption of the statutes relating to the ratification of corporate acts. He is a frequent presenter on Delaware corporate law and practice; he has published more than 70 articles in the field of corporate governance and mergers and acquisitions; and he serves on the editorial advisory board of Insights.
The Hon. Morgan T. Zurn
was sworn in as a Vice Chancellor of the Court of Chancery on October 4, 2018, after having served as a Master in Chan- cery since March 2016. Before joining the Court, she was a Deputy Attorney General at the Delaware Department of Justice, first in the Consumer Protection
Unit and, later, arguing appeals before the Delaware Supreme Court. Prior to joining the AG’s office, Vice Chancellor Zurn was a patent litigator in private practice. She served as a judi- cial law clerk to the Honorable Richard G. Andrews of the United States District Court for the District of Delaware. She holds a Juris Doctorate, cum laude, and a Master’s degree in bioethics from the University of Pennsylvania. She also holds a B.A., with distinction, from the University of Virginia.
